Scope

We partner with companies, universities, labs, nonprofits, and agencies to co-develop technology, field pilots, and content. Collaboration terms are written, project-specific, and time-boxed.

Intake

Email: partnerships@promethianassembly.com. Include: organization, point of contact, objectives, work packages, timeline, budget/funding, data/IP inputs/outputs, publication/PR needs, compliance contacts.

Evaluation criteria

Fit to mission and roadmap, clear deliverables, resourcing, compliance posture, and exit conditions. Collaboration agreements must define scope, roles, milestones, success metrics, budget, IP, data, confidentiality, publication, branding, PR, compliance, and termination. Contract Logix

Intellectual property

Default: background IP stays with its owner; foreground IP, data, and know-how are allocated per contract with defined access and exploitation rights, disclosures, and tech-transfer pathways. Data and publications

Pre-publication review required to protect IP and confidential information; reasonable delay permitted for filings. Data sharing governed by the contract’s purpose, retention, security, and export/sanctions limits. WIPO

Branding, endorsements, and content

Any joint marketing, logos, or testimonials require prior written approval and must follow FTC Endorsement Guides with clear, conspicuous relationship disclosures across media. Partners must not post deceptive or undisclosed reviews. Hall Render+4Federal Trade Commission+4ECFR+4

Compliance (mandatory)

  • Anti-corruption: No bribes, kickbacks, or facilitation payments. Maintain accurate books and controls consistent with the FCPA Resource Guide. Department of Justice+1

  • Sanctions/export: Screen parties and transactions; follow OFAC’s Compliance Framework and relevant advisories. Use OFAC list-screening; cease activity if prohibitions apply. OFAC+2OFAC+2

  • Conflicts of interest: Disclose and mitigate institutional and individual conflicts per contract.

Open-source and third-party materials

Use and contributions require pre-approval and license compatibility review. Attribution and upstream obligations must be honored.

Funding and cost-sharing

Budgets, payment schedules, and cost-share are milestone-linked. Each party bears its own overhead unless stated.

Access and facilities

Site access, safety training, and security clearances are required where applicable.

Security

Protect systems and information per agreed controls. Report incidents promptly.

Term, audit, and termination

Each agreement defines initial term, renewal options, audit rights for funds/compliance, suspension for risk, and termination for convenience or cause with wind-down and IP/data handling.

No partnership by implication

Collaboration language does not create an agency, franchise, joint venture, or exclusive relationship absent explicit terms.
